These terms govern your access to and use of αrs lex Associate and related services. Ars lex and Ars lex Associate are trademarks of ArsLex, Inc.

Acceptance of terms

By accessing or using αrs lex Associate (the "Service"), you agree to be bound by these Terms of Use and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these terms, do not use the Service.

Description of service

The Service is an AI-assisted legal drafting tool that integrates with Microsoft Word and, where configured, your document management system. It provides search, citation, and text-generation features to support legal writing. We may update the Service from time to time; continued use after changes constitutes acceptance of the updated terms.

Permitted use

You may use the Service only for lawful purposes and in accordance with your subscription or license. Use is limited to legal research, drafting, and related professional work within your organization. You are responsible for ensuring that your use complies with applicable law and your firm's policies.

Prohibited use

You may not: (a) reverse engineer, decompile, or attempt to derive source code from the Service; (b) use the Service to generate content that is illegal, infringing, or harmful; (c) resell or sublicense the Service except as permitted in a separate agreement; (d) circumvent any access or usage limits; or (e) use the Service in a way that violates these terms or third-party rights.

Intellectual property

We and our licensors own all right, title, and interest in the Service, including the software, design, and the Ars lex and Ars lex Associate trademarks. You retain ownership of your documents, inputs, and the original content you contribute. Outputs generated by the Service based on your inputs are owned by you, subject to our right to operate and improve the Service. You grant us a limited license to process your content only as necessary to provide the Service and as described in our Privacy Policy.

AI-assisted output; no legal advice

The Service uses artificial intelligence to assist with research and drafting. Outputs are for assistance only and do not constitute legal advice. You are solely responsible for reviewing, verifying, and determining the appropriateness of any output for your matter. We do not guarantee the accuracy, completeness, or suitability of generated content for any particular use.

Disclaimer of warranties

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, we and our affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claims arising out of or related to these terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless ArsLex, Inc., its affiliates, and their respective officers, directors, and employees from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these terms.

Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimer, limitation of liability, and indemnification) will survive termination.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Delaware.
